Grievance Officer: Abhishek Agrawal, grievance@tejastech.services

1. Acceptance and electronic contract

1.1 These Terms of Purchase and Use ("Terms") are an electronic contract under section 10A of the Information Technology Act, 2000, between the person named in the seller details above ("Tejas", "we") and you ("Client"). You accept them by ticking the consent boxes and completing payment or a quote request.

1.2 These Terms (including Annex A on data processing) and any written quotation form one agreement. If they conflict, the quotation prevails for custom work, then Annex A for personal data, then these Terms. Our Privacy Policy explains how we handle your own account data.

1.3 We keep an electronic record of your acceptance (date, time, IP address and version accepted), which may be used as evidence under the Bharatiya Sakshya Adhiniyam, 2023. This is version v2.1, effective 26 September 2026.

2. Eligibility and authority

You must be at least 18 years old and competent to contract under the Indian Contract Act, 1872. If you buy for a business, NGO, trust, society or group, you confirm that you are authorised to bind it, and "Client" means that organisation.

3. Delivery and activation

For ready products, we activate your account and send login details to your registered email within 2 working days of successful payment. Delivery of custom software is as per the quotation.

4. Licence and ownership

4.1 We grant you a limited, non-exclusive, non-transferable, revocable licence to use the software for your own organisation during the paid period.

4.2 The software, its source code, design, database structure and documentation are protected by the Copyright Act, 1957 and remain the property of Tejas. You may not copy, resell, rent, sub-license, modify, reverse-engineer or attempt to access the source code or servers. Unauthorised access may also be an offence under sections 43 and 66 of the Information Technology Act, 2000.

4.3 The data you enter belongs to you. Our rights in the software do not give us ownership of your data.

5. Custom software

5.1 Scope, price, timeline, milestones and acceptance of custom software are set in a written quotation.

5.2 Copyright in custom work passes to the Client only if the quotation says so, and only by a written assignment under section 19 of the Copyright Act, 1957, signed after full payment. Tejas keeps ownership of its pre-existing code, tools and reusable components. Open-source components remain under their own licences.

5.3 Advances for custom work are non-refundable once work has started. Invoices for custom work are payable within 15 days. If Tejas is registered under the Micro, Small and Medium Enterprises Development Act, 2006, delayed payments carry interest under section 16 of that Act, and Tejas may approach the Micro and Small Enterprises Facilitation Council under section 18.

6. Prices, taxes and payment

6.1 The full price you will pay is displayed before you pay. There are no hidden charges. Hosting for custom projects is billed separately at actual cost, as stated in the quotation.

6.2 We are not currently registered for GST, as our turnover is below the threshold that requires registration, so no GST is charged on our prices. If we cross that threshold and register, this clause and the GSTIN in the seller details above will be updated. The full price you will pay is shown at checkout before you pay, and we issue a payment receipt for it. If you deduct tax at source under the Income-tax Act, you must deposit it on time and give us the TDS certificate; until then, the deducted amount remains payable.

6.3 Online payments are processed by Cashfree Payments, a payment aggregator regulated by the Reserve Bank of India. We do not store your card, UPI PIN or bank details. We do not auto-debit renewals; any future auto-renewal will be offered only with your separate consent and as per RBI rules on recurring payments.

7. Subscription period, renewal and cancellation

7.1 A subscription runs for the month or year paid for and ends automatically at the end of that period. Renewing on time is your responsibility.

7.2 As a courtesy, we try to remind you before expiry by email and by an expiry notice in the software. Not receiving a reminder does not extend the subscription or change clause 12.

7.3 You may cancel at any time by writing to tejastechnology9@gmail.com. Cancellation stops the next renewal; the current period continues until its end.

8. Refunds

8.1 Fees once paid are non-refundable, including for partly used periods, unused features, early cancellation or change of mind.

8.2 Exceptions: (a) a duplicate or failed payment is refunded in full once verified; (b) if we fail to activate your account within the time in clause 3 because of a fault on our side, we will, at your choice, activate it or refund the full amount; (c) if we permanently discontinue a product during your paid period, we will refund the unused part on a pro-rata basis. Refunds go to the original payment method within 7 working days of approval.

8.3 Nothing in these Terms takes away any right that cannot be excluded under the Consumer Protection Act, 2019, where that Act applies to you.

9. Data protection roles

9.1 For personal data you enter about your customers, members, beneficiaries or staff ("Client Data"), you are the Data Fiduciary and Tejas is your Data Processor under the Digital Personal Data Protection Act, 2023 and the rules made under it. For your own account and contact details, Tejas is the Data Fiduciary, as explained in our Privacy Policy.

9.2 Until those laws are fully in force, Tejas also follows the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011.

9.3 Client Data is stored on servers located in India. The service providers we use are listed in Annex A.

10. Your responsibilities for Client Data and messages

10.1 Before entering anyone's data, you must give them a clear notice and take their consent where the law requires it, and keep proof of that consent.

10.2 For anyone under 18, or a person with a disability who has a lawful guardian, you must take verifiable consent of the parent or guardian, and must not use the software to track, monitor the behaviour of, or target advertising at children.

10.3 You must not enter full Aadhaar numbers or Aadhaar images (only the last 4 digits, where needed), in line with the Aadhaar Act, 2016, and must not deny anyone a service only because they do not give Aadhaar details. You must not enter passwords, PINs, OTPs or card numbers.

10.4 Messages you send through WhatsApp, SMS or email from your own accounts are your responsibility, including consent, opt-out and compliance with TRAI's Telecom Commercial Communications Customer Preference Regulations, 2018 and the policies of those services (including WhatsApp's rules on unsolicited messages and Google's review policies).

10.5 You must handle requests and complaints from the people whose data you entered, and keep records you are required to keep under laws that apply to you (for example tax, FCRA or scheme rules). We will help as set out in Annex A.

11. Our responsibilities for Client Data

11.1 We process Client Data only to provide the software and support, on your instructions. We do not sell it or use it for our own marketing. It is shared only with the providers in Annex A, for running the service.

11.2 We keep reasonable security safeguards, including access control, logging and regular backups.

11.3 We will inform you within 48 hours of becoming aware of a personal data breach affecting Client Data, and help you meet your duty to inform the Data Protection Board of India and affected persons. We will report cyber incidents to CERT-In where its Directions require us to.

11.4 The software includes options to export your data in common formats (Excel or CSV / a backup file). Exports remain available while your subscription is active.

12. Expiry, backup and removal of your data

12.1 You are responsible for downloading a backup of your data, using the export options, before your subscription ends.

12.2 When your subscription ends for any reason (expiry, non-renewal, non-payment, cancellation or termination), login is switched off. Your data is kept safely for 30 days after that date so that renewing restores everything as it was. During those 30 days you may also ask us by email for an export of your data.

12.3 After those 30 days, your account and data may be permanently removed and cannot then be restored or given back to you. Before removing an account we will tell you by email. Renewing after removal gives you a fresh, empty account.

12.4 Copies of removed data may remain in our routine backups until they are overwritten, which happens within 8 weeks. We do not restore removed data from them for you.

12.5 Where a law requires records to be kept — for example our invoices and payment records under tax laws, and logs we must retain — we keep them for the period the law requires, use them only for the purposes that law allows, provide them only to a government authority on a lawful request, and delete them when the legal period ends.

12.6 We will not remove data that a court, government authority or law requires us to preserve, for as long as that requirement lasts.

12.7 Tejas is not liable for any loss, cost or claim arising from data removed in line with this clause.

13. Acceptable use and prohibited content

13.1 You must not use the software to store, display or send content that is obscene, pornographic, harmful to children, defamatory, infringing, false or misleading, impersonating another person, threatening the unity, integrity, security or sovereignty of India or public order, containing malware, or otherwise unlawful, as described in rule 3(1)(b) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

13.2 You must not send unsolicited messages, attempt to break our security, overload our servers, or use the software for fraud or any illegal purpose. Keep your login details secret and give access only to authorised staff. Activity under your login is treated as yours.

14. Third-party services

The software may work with services we do not control, such as WhatsApp, Cashfree, Google and email providers. Their own terms apply to your use of them, and we are not responsible for their availability or actions.

15. Suspension and termination

15.1 We may suspend or terminate your account after giving notice by email if you break these Terms or do not pay, and the breach is not remedied within 3 days of the notice.

15.2 We may suspend access immediately, without notice, where there is illegal use, a security threat, or an order of a court or government authority.

15.3 You may stop using the software at any time. No refund is due on suspension or termination for your breach. Clause 12 applies from the date of termination; where access is not barred under clause 15.2, you may ask us for an export as set out in clause 12.2.

16. Availability, support and warranties

The software is provided "as is" and "as available". To the extent permitted by law, we give no warranty that it will be error-free, uninterrupted, or fit for a particular purpose, and we may improve, change or remove features without reducing the core function you paid for. AI-generated suggestions (for example tax rates, HSN codes or meeting summaries) can be wrong and must be checked by you. Support is available Monday to Saturday, 10 AM to 6 PM, by email and phone.

17. Limitation of liability

17.1 Our total liability for all claims together is limited to the fees you paid in the 3 months before the first claim.

17.2 We are not liable for loss of data, profit, business, goodwill or reputation, downtime, or any indirect, special or consequential loss, or for loss caused by your data entry, staff, devices, internet, third-party services, or events under clause 19.

17.3 This clause does not limit liability for fraud, wilful misconduct, or any liability that cannot be limited under Indian law.

18. Indemnity

You will indemnify Tejas against any loss, penalty, claim or legal cost arising from your breach of these Terms or of any law, data you entered without proper notice or consent, content you stored, or messages you sent through the software.

19. Force majeure

Neither party is responsible for delay or failure caused by events beyond its reasonable control, such as natural disasters, epidemics, war, riots, government action, or widespread power or internet failure, or failure of hosting or payment providers. This does not excuse payment obligations.

20. Confidentiality

Each party will keep the other's non-public business information confidential and use it only for this agreement, except where disclosure is required by law or by a court or government order.

21. Publicity and feedback

We may list your organisation's name as a client on our website unless you ask us in writing not to. We will use your logo, or publish your feedback or rating, only with your consent. You may withdraw that consent at any time.

22. Changes to these Terms

We may update these Terms and our prices. We will publish the new version on our website and email active clients at least 15 days before a material change. Price changes apply from your next renewal. Renewing or continuing to use the software after the change date means you accept the change; if you do not agree, you may cancel under clause 7.3.

23. Notices and communication

We send notices to the email address in your account, and they are treated as received when sent. You send notices to tejastechnology9@gmail.com or to our registered address. You agree to receive service messages about your account, payments, expiry and security by email. Marketing messages are sent only if you opt in.

24. Grievance redressal

Complaints can be sent to the Grievance Officer named above. We acknowledge a complaint within 24 hours and resolve it within 15 days of receipt. A person whose data you entered should first contact you; if they contact us, we will forward the complaint to you. Nothing here limits the right of any person to approach the Data Protection Board of India after using this process.

25. Governing law and disputes

25.1 These Terms are governed by the laws of India.

25.2 The parties will first try to settle any dispute through discussion for 30 days. If it is not settled, it will be referred to arbitration by a sole arbitrator appointed by mutual agreement, or failing that, under section 11 of the Arbitration and Conciliation Act, 1996. The seat and venue will be New Delhi, and the language English.

25.3 Subject to arbitration, the courts at New Delhi have exclusive jurisdiction.

25.4 This clause does not prevent a consumer from approaching a Consumer Commission where the Consumer Protection Act, 2019 applies, or Tejas from approaching an MSME Facilitation Council under clause 5.3.

26. General

The parties are independent contractors. If any part of this agreement is held invalid, the rest remains in force. Delay in enforcing a right is not a waiver. You may not transfer your account without our written consent; we may transfer this agreement as part of a sale or reorganisation of our business, with notice to you. Clauses 4, 5.2, 12, 17, 18, 20 and 25 survive termination. A Hindi summary is given for convenience; if there is a difference, the English text prevails.

Annex A — Data processing and service providers

For Client Data, Tejas acts on your instructions as your Data Processor (clause 9.1). We use the following providers, only for the purpose stated:

We will update this list, and tell you by email, before adding a provider that handles Client Data. We delete or return Client Data as set out in clause 12, help you answer requests from the people whose data you entered, and let you or a person you authorise verify our compliance with this Annex on reasonable notice.

End of Terms.
